Welcome to Vyapry, a product of Palpio Technologies. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Vyapry platform (including web portals, mobile applications, and APIs), you agree to these Terms. If you do not agree, you must not use our services.

2. Description of Services

Vyapry provides a commerce platform that includes:

Supplier management and catalog tools
Warehouse and inventory management
Delivery tracking and logistics coordination
Customer-facing e-commerce applications
Billing, invoicing, and payment processing
Admin dashboards and analytics
Email and SMS notification services

3. User Accounts

You must provide accurate and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials.
You must be at least 18 years old to use our services.
One person or business may not maintain more than one account per role without prior approval.
You are responsible for all activities that occur under your account.

4. User Roles & Responsibilities

Suppliers: Must provide accurate product information, pricing, and availability. Must fulfil orders within agreed timelines and comply with quality standards.

Warehouse Operators: Must maintain accurate inventory records, process orders promptly, and ensure proper storage conditions.

Delivery Partners: Must complete deliveries within specified windows, handle goods with care, and maintain communication with customers.

Customers: Must provide accurate delivery information and make payments as agreed.

5. Payments & Billing

All prices are displayed in Indian Rupees (₹) and are inclusive of applicable taxes unless stated otherwise.
We support payments via UPI, credit/debit cards, net banking, wallets, and cash on delivery (COD).
Supplier settlements are processed as per the agreed schedule (same-day or periodic).
All invoices are GST-compliant as per Indian tax regulations.
Subscription fees for platform usage are billed monthly or yearly as per your chosen plan.

6. Cancellation & Refunds

Order cancellations and refunds are governed by our Refund Policy. Subscription cancellations take effect at the end of the current billing period.

7. Intellectual Property

All content, trademarks, logos, and software associated with Vyapry are the property of Palpio Technologies. You may not copy, modify, distribute, or reverse-engineer any part of our platform without written permission.

8. Prohibited Activities

You agree not to:

Use the platform for any unlawful purpose.
Upload false, misleading, or fraudulent product information.
Attempt to gain unauthorised access to other users' accounts or our systems.
Interfere with the proper functioning of the platform.
Scrape, data-mine, or use automated tools to extract data from the platform.
Resell or redistribute platform access without authorisation.

9. Limitation of Liability

To the maximum extent permitted by law, Palpio Technologies shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Palpio Technologies, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the platform or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. You may terminate your account at any time by contacting support.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Thrissur, Kerala.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the revised Terms.
